Essential Maternity Toolkit Terms of Use

1. Licence Grant

By purchasing the MaterniTeach Essential Maternity Toolkit ("the Toolkit") for £299, you are granted a non-exclusive, non-transferable licence to use, modify, and implement the resources within your own business operations.

2. What You Can Do

You may:
- Download and use all Toolkit materials for your business
- Customise, edit, and rebrand templates for internal use
- Share customised materials with your employees, contractors, and clients
- Implement the resources across your business operations
- Access ongoing updates and new versions through your portal
3. What You Cannot Do

You may not:
- Resell, redistribute, or licence the Toolkit to others
- Share your login credentials or portal access with other businesses
- Claim authorship or ownership of the Toolkit resources
- Use the materials to create competing products or services
- Make the original files available for download by third parties
4. Intellectual Property

All Toolkit content, including templates, frameworks, methodologies, and documentation, remains the intellectual property of MaterniTeach. Your licence grants usage rights only, not ownership of the underlying intellectual property.

5. Updates and Access

Your purchase includes ongoing access to the Toolkit portal, including updates, revisions, and new materials added over time. We reserve the right to modify resources to reflect changes in UK maternity and employment legislation and best practices.

6. Portal Access

Access to the portal is provided via individual login credentials. Each purchase covers one business entity. If you operate multiple separate business entities, separate licences are required for each.

7. Termination

We reserve the right to terminate portal access if we reasonably believe these terms have been violated, including evidence of unauthorised sharing or redistribution.

8. No Warranties

Whilst we make every effort to ensure the Toolkit reflects current UK maternity rights and employment law requirements, you are responsible for ensuring compliance with all applicable laws and regulations for your specific business circumstances. The Toolkit is provided "as is" without warranties of any kind.

9. Limitation of Liability

To the fullest extent permitted by law, MaterniTeach shall not be liable for any indirect, incidental, or consequential damages arising from use of the Toolkit. Our total liability shall not exceed the amount you paid for the Toolkit.

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We may update these terms occasionally. Continued use of the portal following any changes constitutes acceptance of the revised terms.
